iCOUNTER Names National Security and Technology Law Veteran Mike Taxay as Chief Legal Officer to Help Scale Its Enterprise Threat Intelligence Platform

iCOUNTER, the leader in Third-Party Risk Intelligence and Counter Threat Operations, today announced the appointment of Mike Taxay as Chief Legal Officer. A seasoned legal executive with a career spanning national security, cybersecurity, and high-growth technology, Taxay joins iCOUNTER as the company accelerates its mission to help organizations move beyond reactive defense and toward proactive counter threat operations.

Taxay most recently served as General Counsel of America’s Frontier Fund, where he led the legal build-out of a multi-entity venture platform spanning investment funds, venture studios, and a nonprofit foundation, closing approximately $400 million across two funds. Previously, as General Counsel and Chief Risk Officer of LookingGlass Cyber Solutions, he partnered with the CEO and board through a complex three-company roll-up, recapitalization, restructuring, acquisitions, divestiture, and eventual merger with a public company, while building the governance, compliance, and contracting frameworks required to operate in classified and export-controlled environments. Earlier in his career, he held national security, cyber, and financial crime leadership roles at the Department of Justice and the FBI.

“Mike brings exactly the kind of legal and strategic leadership that companies operating at the intersection of national security and emerging technology require,” said John Watters, Chairman and CEO of iCOUNTER. “His background spanning the DOJ, the FBI, and some of the most complex transactions in the cybersecurity sector gives him a rare vantage point. As iCOUNTER continues to scale, his ability to navigate regulatory complexity, government contracting, and strategic risk will be essential to how we grow and operate.”

As Chief Legal Officer, Taxay will oversee iCOUNTER’s legal, governance, and compliance functions, with a particular focus on the regulatory and contracting frameworks required to serve customers operating in classified, government, and export-controlled environments. He will serve as a close partner to the CEO and board on capital formation, strategic transactions, and enterprise risk.

“iCOUNTER is solving a problem that matters at the highest levels of national security and enterprise risk,” said Mike Taxay. “The threat environment has fundamentally shifted, and organizations need intelligence capabilities that move as fast as the adversaries they are up against. I am excited to help build the legal and governance infrastructure that allows iCOUNTER to operate at that pace and scale.”

Taxay’s background in False Claims Act enforcement and program fraud at DOJ directly informs how he constructs compliance and contracting frameworks for companies operating in government markets, an increasingly critical capability as iCOUNTER expands its work with public sector and critical infrastructure customers.

“What sets Mike apart is that he thinks like an operator, not just a lawyer,” added Watters. “He has built legal functions inside companies navigating capital markets, regulatory complexity, and national security requirements simultaneously. That experience is exactly what we need as we define the next chapter of iCOUNTER.”
